Role purpose

The Associate - Corporate Governance supports the delivery of high‑quality company secretarial, domiciliation and directorship services for a portfolio of Luxembourg‑based client entities.

This role is well suited to someone with 3–5+ years of relevant experience who is confident working independently day to day, while collaborating closely with colleagues and engaging directly with clients. You will play an important role in ensuring corporate governance obligations are met accurately, efficiently and to a consistently high standard.

Key responsibilities
  • Company secretarial & corporate governance support
  • Day‑to‑day management of company secretarial activities for a portfolio of regulated and unregulated Luxembourg entities (including funds, holding and asset‑owning companies).
  • Handling a wide range of corporate actions, such as incorporations, liquidations, changes to directors/managers, share allotments and transfers, capital increases/decreases, amendments to articles of association, capital calls and distributions.
  • Preparing and/or reviewing corporate approvals, filings with the Luxembourg Business Register, and maintaining statutory registers.
  • Maintaining complete, accurate and well‑organised corporate records, including trade register excerpts, constitutional documents, minutes, resolutions and contracts.

Client & board support
  • Preparing, coordinating and participating in board and shareholders’ meetings, ensuring timelines, governance standards and internal processes are respected.
  • Acting as a reliable point of contact for clients, responding to corporate governance and legal queries in a clear, practical and professional manner.
  • Advising on governance best practice and providing structured board support.

Collaboration & quality delivery
  • Working closely with internal teams (including Accounting and other CBRE offices) to ensure a seamless client experience.
  • Liaising with external parties such as notaries, auditors, tax advisers and authorities.
  • Supporting the onboarding of new clients and entities.
  • Monitoring corporate files on an ongoing basis to ensure compliance and completeness.
  • Following internal procedures carefully and keeping logs and trackers up to date.

Team contribution

Supporting and, where appropriate and relevant, guiding more junior team members through task delegation and review.
Contributing positively to the team environment, sharing knowledge and supporting colleagues during transactions and peak periods.


Experience & qualifications
  • A minimum of 3 - 5+ years of relevant experience in corporate governance, company secretarial services, a law firm, or an in‑house legal or corporate department.
  • Legal background (law degree) or hands‑on corporate governance experience in a professional services environment.
  • Strong understanding of Luxembourg or European corporate law principles.
  • Experience working with both regulated and unregulated entities is an advantage.

Language & technical skills
  • Fluent in English (written and spoken).
  • Knowledge of German and/or French is an advantage.
  • Proficient in Microsoft Office.
  • Experience using corporate governance or company secretarial systems is beneficial.
